SavEdge – Merchant Terms & Conditions These Merchant Terms & Conditions (“Terms”) govern your participation in the SavEdge Loyalty Program (the “Program”) through the SavEdge App (the “App”), operated by SavEdge Technology (“SavEdge,” “we,” “us,” or “our”). By registering as a participating Merchant (“Merchant,” “you,” or “your”) and promoting the App to your customers, you agree to be bound by these Terms. 1. Merchant Eligibility To participate in the Program as a Merchant, you must: • Be a legally registered business entity; and • Have the authority to enter into contracts on behalf of the business. 2. Rewards and Loyalty Program Setup • You are responsible for defining your loyalty program, including the number of stamps or points required and the rewards offered. • All information regarding your rewards, offers, and program terms must be accurate and kept up to date. • You may modify your offers on a quarterly basis, provided that you notify SavEdge and, where possible, your customers. • You may discontinue your offers at any time, but you should give notice to both SavEdge and your customers as soon as possible. Security & Liability: • We take appropriate measures to safeguard the App, including encryption and secure data storage. However, no method of Internet transmission or storage is entirely secure. • SavEdge is not liable for fraud, counterfeit, or otherwise invalid reward redemptions. You are responsible for safeguarding and verifying all redeemed loyalty stamps and rewards. 3. Data and Privacy • SavEdge’s customer database is the sole property of SavEdge. We are under no obligation to share this database with you. • You will only have access to customer information necessary to operate your loyalty program and fulfill rewards. • You must handle all customer data in compliance with applicable privacy laws and the SavEdge Privacy Policy available at

. • You must not sell, transfer, or misuse any customer data obtained through the App. 4. Use of the App • The App must not be used for unlawful, fraudulent, or misleading purposes, nor for sending spam or unauthorised communications. • You are responsible for maintaining the security and confidentiality of your account credentials. 5. Fees and Payments • The Merchant participation fee will be invoiced annually, in advance, upon completion of the trial period. • Failure to pay fees may result in suspension or termination of your Merchant account. • If you terminate your Merchant account, SavEdge will refund the unused portion of your annual fee, calculated on a weekly pro-rata basis from the date of termination. • You are not permitted to sell, license, or otherwise transfer the mobile app to customers. 6. Limitation of Liability • SavEdge is not responsible for any disputes, losses, liabilities, or damages arising from your offers, programs, or interactions with customers. • We make no guarantee as to the number of users who will engage with or join your loyalty program. • You bear full responsibility for the validation and honouring of redeemed rewards. 7. Termination • You may terminate your Merchant account at any time by providing four (4) weeks’ written notice via email. • SavEdge may suspend or terminate your access to the App at any time, with or without notice, and for any reason at its sole discretion, including (but not limited to) violations of these Terms, non‑payment of fees, compliance with law, or if SavEdge decides to discontinue the App or service. • If your Merchant account is suspended or terminated, no fees or payments already made will be refunded. 8. Governing Law These Terms are governed by and construed in accordance with the laws of New Zealand, without regard to conflict-of-law principles. 9.
